Terms of Service These Terms of Service ("Terms") govern your access to and use of Datella, the all-in-one event-planning platform at datella.app and its subdomains, progressive web app, AI assistant ("Aira"), and related services (the "Service"), owned and operated by Bobby Ahmad Heykal, an individual sole proprietor based in Indonesia ("Datella", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. Eligibility You must be at least the age of majority in your jurisdiction (18 in Indonesia) to create an account, or use the Service with the involvement of a parent or guardian. By using the Service you confirm you meet this requirement and that the information you provide is accurate. --- ## 2. Your account - You are responsible for your account credentials and all activity under your account. Enable multi-factor authentication (MFA) where offered. - Keep your contact information current so we can deliver reminders, security notices, and payment confirmations. - Notify us promptly at support@datella.app of any unauthorized use. --- ## 3. The Service Datella provides tools to plan events, including: - Self-service planning — dynamic checklists, budget tracker, guest list & RSVP, digital moodboards. - Vendor discovery — a directory to find, save, and take notes on vendors. - AI assistant (Aira) — AI-generated planning help, negotiation drafts, contextual reminders, and event Q&A. - Publishing options — Open Invitation pages, Listed Events, and vanity subdomains. We may add, change, or remove features. The Service is offline-first; some data is stored on your device and syncs when you reconnect. --- ## 4. AI assistant (Aira) — acceptable use and limitations - Assistance, not advice. Aira's outputs (suggestions, negotiation drafts, reminders, summaries) are aids only. They are not professional, legal, financial, or contractual advice. You are solely responsible for decisions you make and messages you send. - AI can be wrong. Output may be inaccurate, incomplete, or unsuitable. Verify anything important before acting on it. - Merit-based recommendations. Aira's in-chat vendor recommendations are merit-based and are never paid placements. Sponsored content appears only in browse/search and is labeled "Disponsori." - Acceptable use. Do not use Aira or the Service to generate or distribute unlawful, deceptive, harassing, hateful, or infringing content, to attempt to extract other users' data, to reverse-engineer the model, or to evade rate limits and safety controls. --- ## 5. AI points and fair use - AI features consume AI points. Free accounts receive a one-time point bonus; the 1-Year AI Bundle includes a fixed AI-point allotment for its term. - AI points are a usage allowance, not stored value, currency, or a refundable balance. They have no cash value and are non-transferable. - We may apply reasonable rate limits and anti-abuse measures. Automated, bulk, or abusive consumption may result in throttling or suspension. --- ## 6. Payments, products, and refunds ### 6.1 One-time purchases Datella uses a one-time payment model. There are no recurring couple subscriptions. Products may include (prices shown in-app and subject to change): - 1-Year AI Bundle — one-time payment covering a 12-month term, includes an AI-point allotment and per-event bundle perks (first event included). - Per-event add-ons — e.g. Additional Event, Open Invitation, Listed Event, Subdomain, checklist/RSVP packs, premium templates, QR check-in. Bundle and per-event entitlements are tied to your account and the relevant event, are non-transferable, and apply as described at the time of purchase. ### 6.2 Vendor plans Vendor Verified (one-time) and Pro (annual) plans are governed by these Terms and any plan-specific terms shown at purchase. Pro free trials, where offered, convert or expire as described in-app; we will notify you before a trial ends. ### 6.3 Taxes and processing Prices may exclude applicable taxes. Payments are processed by a third-party payment provider; you agree to their terms for the payment transaction. Orders placed on datella.app may be processed by our online reseller Paddle.com, which is the merchant of record for those orders and handles the payment, billing questions and refunds; Paddle's Buyer Terms apply to that transaction. Purchases in the Android app are sold by Google Play. ### 6.4 Refunds You can get a full refund within 14 days of a purchase that you have not used yet, and always when a purchase never became active or you were charged in error. Purchases made through an app store (e.g. Google Play) also follow that store's refund policy. The details, including what counts as used and how to ask, are in our Refund Policy. --- ## 7. Your content - You own your content. You retain ownership of the event data, images, notes, and other content you create or upload ("Your Content"). - License to operate the Service. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and back up Your Content solely to provide and improve the Service (including running Aira on your request and serving content you publish). This license ends when you delete the content or your account, subject to backup cycles and legal retention. - Your responsibilities. You represent that you have the rights to the content you upload (including images and any third-party material), and that it does not infringe rights or break the law. - Guest data. If you collect guest information (RSVP, Open Invitation), you are the controller of that data and must handle it lawfully, including obtaining any consents required. --- ## 8. Public content and subdomains When you choose to publish (Open Invitation, Listed Event, or a subdomain), the content becomes publicly accessible and may be cached or indexed by third parties. Subdomains are permanent. A claimed subdomain (e.g. couplename.datella.app) is permanent, non-editable, and non-transferable. We may unpublish the served content if you delete the event or account, but the subdomain string remains reserved and will not be reassigned. This is a security measure to prevent impersonation via re-registered subdomains. Choose carefully. --- ## 9. Acceptable use You agree not to: - Break any applicable law or infringe others' rights. - Upload unlawful, harmful, harassing, hateful, deceptive, or infringing content. - Upload, request, or distribute child sexual abuse material (CSAM) — we report such material to the relevant authorities (e.g. NCMEC) and terminate accounts immediately and permanently. - Scrape, harvest, or attempt to access data you are not authorized to access. - Probe, attack, overload, or circumvent security, rate limits, or safety controls. - Resell, sublicense, or white-label the Service without our written agreement. - Misuse vendor lead data (vendors may use leads only to respond to inquiries). --- ## 10. Vendors If you list or claim a vendor profile, you represent that you are authorized to act for that business and that your listing is accurate. You must respond to leads professionally and lawfully and use User data only as permitted by these Terms and the Privacy Policy. We may remove or suspend listings that are inaccurate, abusive, or violate these Terms. --- ## 11. Intellectual property The Service, including its software, design, branding ("Datella", "Aira"), and content we provide (excluding Your Content and vendor content), is owned by Datella or its licensors and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, modify, distribute, or create derivative works except as these Terms allow. --- ## 12. Third-party services The Service relies on and may link to third parties (AI provider, hosting, payments, push/messaging, affiliate or partner offers). We are not responsible for third-party services or content. Affiliate or sponsored offers, where shown, are labeled; your dealings with third parties are at your own risk and subject to their terms. --- ## 13. Suspension and termination - By you. You may stop using the Service and delete your account at any time via in-app controls. Deletion triggers our erasure process (see Privacy Policy). - By us. We may suspend or terminate access if you breach these Terms, create legal or security risk, or as required by law. For serious violations (e.g. CSAM, attacks) termination is immediate. - Effect. On termination your license to use the Service ends. Provisions that by nature should survive (e.g. ownership, disclaimers, liability limits, governing law) survive termination. One-time entitlements do not entitle you to a refund on termination for cause. - Inactive accounts. We may close or clean up long-inactive accounts and their data after an extended period of inactivity. You may export your data at any time via Settings → Export Data. --- ## 14. Disclaimers The Service is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that AI output, reminders, vendor information, or pricing will be accurate or suitable. Reminders and notifications depend on factors outside our control (device, network, browser, push provider) and may be delayed or missed; do not rely on them as the sole means for time-critical matters. --- ## 15. Limitation of liability To the maximum extent permitted by law, Datella and its operators will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, goodwill, or events that do not proceed as planned. Our total aggregate liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) IDR 500,000. Nothing limits liability that cannot be limited under applicable law (including for death/personal injury caused by negligence, fraud, or rights you have as a consumer). --- ## 16. Governing law and disputes These Terms are governed by the laws of the Republic of Indonesia, without regard to conflict-of-laws rules. Disputes will be subject to the jurisdiction of the competent courts in Kabupaten Tangerang, Banten, Indonesia, except where mandatory consumer law gives you the right to bring proceedings elsewhere. We encourage you to contact support@datella.app first; we aim to resolve disputes informally before any formal proceedings. --- ## 17. Changes to these Terms We may update these Terms. Material changes will be announced in-app or by email and the "Last updated" date will change. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service and you may delete your account. --- ## 18. Miscellaneous - Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Datella regarding the Service. - Severability. If a provision is unenforceable, the rest remains in effect. - No waiver. Failure to enforce a provision is not a waiver. - Assignment. You may not assign these Terms; we may assign them in a merger, acquisition, or asset sale. - Language. These Terms are provided in Indonesian and English. In case of any conflict or inconsistency, the Indonesian version prevails (consistent with Law No. 24 of 2009). --- ## 19.
